2. Definitions

For the purposes of these Terms:

Customer means a person or entity seeking renovation, maintenance, repair, construction, landscaping or related services.

Platform means the RenoRoster website, associated systems, forms, accounts, listings, communication tools and related services.

3. Nature of RenoRoster’s Business

3.1 RenoRoster operates an online lead-generation, advertising, introduction and referral platform intended to connect Customers with independent Contractors who may be interested in undertaking renovation or related work.

3.2 RenoRoster is not a builder, tradesperson, construction company, subcontractor, employer of Contractors, project manager, building certifier, architect, engineer, quantity surveyor or construction consultant merely by operating the Platform.

3.3 Unless expressly agreed in a separate written agreement, RenoRoster does not:

  1. undertake, perform, supervise or manage construction, renovation, repair or trade work;
  2. enter into Work Contracts on behalf of Customers or Contractors;
  3. determine the technical scope, method, quality, suitability or safety of work;
  4. set or guarantee Contractor pricing, quotes, completion dates or availability;
  5. guarantee that a Customer will receive a quote or that a Contractor will accept a Job Request;
  6. guarantee that a Contractor is suitable, qualified, licensed, insured, available, financially solvent or capable of completing a particular job;
  7. warrant the accuracy or completeness of information supplied by Customers or Contractors; or
  8. guarantee that a job will be completed successfully, on time, within budget or without defects.

3.4 RenoRoster does not ordinarily take possession of materials, control a worksite, direct a Contractor’s employees or subcontractors, or supervise the performance of a Work Contract.

3.5 A Customer and Contractor are responsible for independently deciding whether to enter into a Work Contract and for determining its terms.

3.6 RenoRoster’s role is limited to providing the Platform, facilitating enquiries and introductions, and performing the referral or matching activities expressly described for its services.

3.7 Nothing in these Terms excludes responsibility that RenoRoster cannot lawfully exclude or changes the actual nature of services RenoRoster agrees to provide.

4. Eligibility and Accounts

4.1 Users must provide accurate, current and complete information when registering for or using the Platform.

4.2 Users must promptly update information that becomes inaccurate or out of date.

4.3 Users must be legally capable of entering into binding agreements. A person acting for a company or business warrants that they have authority to act for that entity.

4.4 Users must keep account credentials secure and must not knowingly permit unauthorised access to their accounts.

4.5 Users are responsible for activities undertaken through their accounts, except to the extent applicable law provides otherwise.

4.6 RenoRoster may request additional information to establish identity, business details, licensing status or eligibility to use particular features.

4.7 RenoRoster may refuse, suspend or restrict an account where reasonably necessary to address suspected fraud, unlawful activity, misleading information, safety concerns, breaches of these Terms or risks to other users.

4.8 Users must notify RenoRoster promptly if they suspect unauthorised use of their account.

5. Customer Job Requests

5.1 Customers may submit Job Requests describing proposed renovation, repair, maintenance, landscaping, building or other related work.

5.2 Customers must ensure that their Job Requests are genuine, lawful and sufficiently accurate to allow Contractors to assess the proposed work.

5.3 Customers should include relevant information such as:

  1. the nature and location of the work;
  2. the approximate scope and desired outcome;
  3. relevant measurements, photographs or plans, where available;
  4. preferred timing and any known deadlines; and
  5. known access restrictions, hazards or relevant property conditions.

5.4 Customers must not submit fraudulent, fictitious, abusive, unlawful, misleading or deliberately incomplete requests.

5.5 Customers must not submit a request for work they are not authorised to commission.

5.6 Customers are responsible for obtaining necessary permission from property owners, landlords, body corporates or other relevant parties before authorising work.

5.7 Submission of a Job Request does not guarantee that any Contractor will respond, provide a quote, accept the job or complete the work.

5.8 RenoRoster may review, categorise, refer, limit, reject, suspend or remove Job Requests where reasonably necessary for the operation, safety or integrity of the Platform.

5.9 RenoRoster may contact a Customer to clarify a request or obtain further information.

5.10 Customers authorise RenoRoster to share relevant Job Request information and contact details with Contractors selected or permitted to respond to that request, in accordance with the Privacy Policy and applicable law.

5.11 Customers should avoid including unnecessary sensitive personal information, identity documents, payment card information or confidential information in public listings.

6. Contractor Registration and Business Profiles

6.1 Contractors may register to create a business profile and access the Platform’s contractor features, subject to applicable eligibility requirements.

6.2 Contractors must ensure that all information displayed on their profiles is accurate, current, lawful and not misleading.

6.3 Contractors are solely responsible for the content they upload or submit, including:

  1. business names and contact details;
  2. descriptions of services and areas served;
  3. photographs, project galleries and promotional material;
  4. licences, qualifications and certifications;
  5. insurance information;
  6. customer reviews or testimonials submitted by them; and
  7. representations about experience, capacity, availability and workmanship.

6.4 Contractors must not claim to hold a licence, qualification, accreditation, insurance policy or endorsement that they do not hold.

6.5 Contractors must promptly notify RenoRoster of any suspension, cancellation, expiry or material restriction affecting a licence, registration, qualification or insurance policy relevant to the services they offer.

6.6 Contractors must not impersonate another business, use another person’s profile without permission, manipulate reviews, fabricate projects or make misleading claims about competitors.

6.7 RenoRoster may edit, decline to publish, suspend or remove profile content that breaches these Terms, infringes another person’s rights or creates a material legal, safety or reputational risk.

6.8 A Contractor profile is an advertising and information listing. Its publication does not, by itself, constitute an endorsement, certification, guarantee or recommendation by RenoRoster.

6.9 Contractors are responsible for maintaining their own business records, complying with applicable laws and ensuring they have the capacity and authority to accept work.

7. Contractor Licensing, Insurance and Legal Compliance

7.1 Each Contractor is independently responsible for ensuring that they, their employees and subcontractors hold all licences, registrations, permits, qualifications and authorisations required to perform the work they undertake.

7.2 Contractors must comply with applicable Commonwealth, state and territory laws, including relevant building and construction laws, consumer protection laws, workplace health and safety requirements, electrical and plumbing regulations, environmental requirements, licensing conditions and tax obligations.

7.3 Contractors must maintain insurance required by law and any additional insurance reasonably appropriate to their work, including relevant public liability, workers compensation and professional indemnity insurance where applicable.

7.4 Contractors must provide evidence of licences or insurance when reasonably requested by RenoRoster and must ensure that such evidence remains current.

7.5 Unless RenoRoster expressly states otherwise in writing, the presence of a licence number, insurance detail, profile badge or other information on the Platform should not be treated as confirmation that RenoRoster has independently verified every aspect of the Contractor’s qualifications, insurance, business standing or performance history.

7.6 Where RenoRoster expressly describes a particular verification process, that description will govern the scope of the stated verification. Verification does not constitute a guarantee of future conduct or workmanship.

7.7 RenoRoster does not replace the Customer’s responsibility to undertake appropriate checks before engaging a Contractor.

7.8 Contractors must not accept work that they are legally prohibited or insufficiently qualified to perform.

8. Quotes and Work Contracts

8.1 Contractors are responsible for preparing and submitting their own quotes, estimates, proposals, schedules and offers.

8.2 Unless expressly stated otherwise, RenoRoster does not prepare, approve, negotiate or warrant the accuracy of Contractor quotes.

8.3 Customers are responsible for reviewing quotes carefully, asking questions and confirming that the proposed scope, inclusions, exclusions, materials, price, payment terms, warranties and timeframes are acceptable.

8.4 Customers and Contractors should enter into a clear written Work Contract before work begins. Depending on the nature of the job, this may include a written scope of work, price, variation process, payment schedule, start and completion dates, warranty terms, cancellation rights and dispute process.

8.5 The Work Contract is between the Customer and Contractor only. RenoRoster is not a party to that contract merely because the introduction occurred through the Platform.

8.6 The Contractor is responsible for obtaining any required deposits, permits, approvals, plans, certifications and consents and for complying with applicable requirements relating to the job.

8.7 RenoRoster does not determine whether a quote is fair, reasonable, complete or competitive and does not guarantee that a Customer will receive the lowest available price.

8.8 Acceptance of a quote by a Customer creates a Work Contract only to the extent that the Customer and Contractor have formed a legally binding agreement under applicable law.

8.9 RenoRoster does not guarantee that a Contractor will honour a quote or that a Customer will proceed with a proposed job.

8.10 Unless separately agreed in writing, RenoRoster does not collect the price for the Contractor’s work, hold construction deposits, administer project payments, release milestone payments or act as an escrow agent.

8.11 Customers and Contractors are responsible for arranging payment directly between themselves unless a separate payment arrangement is expressly offered by RenoRoster.

9. Contractor Workmanship, Property Damage and Injuries

9.1 Contractors are solely responsible for the work they agree to perform, including its planning, execution, quality, safety, supervision, compliance and completion.

9.2 To the extent permitted by law, RenoRoster is not responsible for any independent act or omission of a Contractor, Customer, subcontractor, employee, supplier or other third party.

9.3 This includes, without limitation:

  1. defective, incomplete, negligent or substandard workmanship;
  2. damage to buildings, fixtures, fittings, landscaping, vehicles, personal belongings or other property;
  3. personal injury, illness or death arising from work performed by a Contractor;
  4. water leaks, flooding, fire, electrical faults, structural defects or other damage arising from work;
  5. failure to comply with building codes, standards, licensing requirements, permits or safety obligations;
  6. delays, missed appointments, abandonment of work or failure to complete a job;
  7. cost overruns, incorrect quotes, disputed variations or unexpected expenses;
  8. theft, fraud, misconduct or misrepresentation by a Contractor or Customer;
  9. disputes over deposits, invoices, refunds, warranties, rectification or payment; and
  10. losses arising from the acts or omissions of a Contractor’s employees, subcontractors or suppliers.

9.4 Customers should direct complaints about the performance, quality, safety or completion of work to the relevant Contractor in the first instance, without limiting any rights the Customer may have against RenoRoster or another party under applicable law.

9.5 Contractors are responsible for their own contractual obligations, defective work, rectification responsibilities, warranties, insurance claims and disputes with Customers.

9.6 RenoRoster does not undertake to inspect, certify, supervise or warrant work carried out by Contractors.

9.7 Nothing in this section excludes or limits liability to the extent that such exclusion or limitation is prohibited by law, including non-excludable consumer guarantees or liability arising from RenoRoster’s own conduct.

10. Limitation of RenoRoster’s Role and Liability

10.1 RenoRoster provides the Platform as a means of facilitating information exchange, advertising, lead generation and introductions.

10.2 RenoRoster does not warrant that use of the Platform will result in a successful job, satisfactory workmanship, a particular financial outcome, uninterrupted service or the suitability of any particular Contractor.

10.3 To the extent permitted by law, RenoRoster excludes responsibility for losses caused by a third party’s independent acts or omissions, including a Contractor’s failure to perform a Work Contract.

10.4 To the extent permitted by law, RenoRoster is not liable for indirect or consequential loss arising from a Work Contract or a third party’s work, including loss of profits, loss of business opportunities, loss of anticipated savings or loss of use, where such loss is legally excludable.

10.5 Nothing in these Terms excludes, restricts or modifies a right, guarantee, remedy or liability that cannot lawfully be excluded, restricted or modified.

10.6 Where applicable law permits RenoRoster to limit liability for a breach of a non-excludable guarantee or other obligation, any limitation will apply only to the extent permitted by that law and the circumstances of the particular service.

10.7 RenoRoster remains responsible for its own contractual obligations and for any liability arising from its own conduct to the extent required by law.

10.8 Nothing in these Terms prevents a person from exercising a statutory right or remedy available to them.

11. Urgent Match Service

11.1 RenoRoster may offer a premium service for Customers who require assistance finding a Contractor for urgent or time-sensitive work.

11.2 The Urgent Match Service involves reviewing the Customer’s request, contacting potential Contractors, checking availability where possible, relaying information and facilitating an introduction.

11.3 The Urgent Match Service is a referral and matching service. It is not an emergency response service, repair service, emergency plumber, electrician, insurer, building manager or public safety service.

11.4 RenoRoster does not guarantee that a Contractor will be available, respond within a particular timeframe, attend a property, diagnose an issue, prevent further damage or complete repairs.

11.5 Customers must not rely on RenoRoster as their sole response to an immediate threat to life, health, property or safety. Customers should contact appropriate emergency services, utility providers, insurers or qualified emergency professionals where necessary.

11.6 Customers are responsible for taking reasonable immediate steps to protect people and property, where safe and appropriate, and for obtaining urgent professional assistance when required.

11.7 The Urgent Match Service fee is charged for the matching and referral service described at the time of purchase, not as payment for the Contractor’s repair work.

11.8 The applicable upfront fee and the scope of the service will be displayed before payment. Unless otherwise expressly displayed, the standard Urgent Match Service fee is $50 AUD.

11.9 If RenoRoster is unable to match the Customer with a suitable Contractor within 48 hours of receiving the urgent request, the $50 Urgent Match Service fee will be refunded, subject to the applicable payment method and processing requirements.

11.10 A matching service fee does not guarantee that a Contractor will accept the job, attend within a particular timeframe or resolve the underlying issue.

11.11 The Contractor remains independently responsible for diagnosing and carrying out any work, including determining whether the job is safe, within their competence and legally permissible.

11.12 RenoRoster is not responsible for additional damage caused by the underlying issue, a delay in obtaining appropriate professional assistance or a Contractor’s independent acts or omissions, except to the extent required by law.

11.13 Any refund or service commitment expressly provided by RenoRoster will apply according to its stated terms and will not be displaced by this section.

12. RenoRoster Commission and Contractor Payments

12.1 Commission Fee

RenoRoster charges a commission fee of 10% of the total agreed job value, as specified in the quote accepted by the Customer, for work secured through a lead or referral provided by RenoRoster.

12.2 Calculation of Commission

The commission is calculated on the total agreed value of the accepted quote, rather than solely on any deposit or individual payment made by the Customer. Any agreed variations or additional work will be treated in accordance with the applicable Contractor Agreement or written fee agreement.

12.3 Job Completion and Notification

The Contractor must notify RenoRoster when a job obtained through a RenoRoster lead or referral has been completed. The Contractor must provide accurate information about the completed job and the total agreed job value, including any applicable agreed variations.

12.4 Invoicing and Payment of Commission

Following receipt of the Contractor’s notification that the job has been completed, RenoRoster will issue an invoice directly to the Contractor for the applicable 10% commission calculated on the total agreed job value.

The Contractor must pay the invoice within the payment period specified on the invoice or in the applicable Contractor Agreement.

12.5 GST

The commission fee is exclusive of Goods and Services Tax (GST). GST will be charged on the commission fee where applicable and in accordance with Australian taxation law.

12.6 Contractor Payment Responsibility

The commission is payable directly by the Contractor to RenoRoster and is separate from any amount payable by the Customer to the Contractor for the work performed. RenoRoster does not collect the Customer’s payment for the Contractor’s work or deduct its commission from that payment unless a separate written agreement expressly provides otherwise.

12.7 Reporting and Verification

Contractors must accurately report job completion and the agreed job value. RenoRoster may request reasonable supporting documentation, including the accepted quote, invoices or agreed variations, to verify the commission payable, subject to applicable privacy and confidentiality obligations.

12.8 Commission Avoidance

Contractors must not deliberately conceal or misrepresent a job’s completion status or agreed value to avoid paying commission properly owed to RenoRoster. Commission obligations continue to apply to referred work regardless of whether the Customer and Contractor communicate, contract or arrange payment directly between themselves.

12.9 Cancellations, Refunds and Disputes

Where a job is cancelled, the Customer’s payment is refunded or reversed, or the parties dispute the work or payment, the treatment of the commission will be determined in accordance with the applicable Contractor Agreement, the disclosed fee schedule and applicable law.

12.10 Fee Changes

RenoRoster may update its fees for future leads or services by giving reasonable notice. A fee change will not retrospectively alter a fee already agreed for a lead unless the affected parties agree otherwise or the law permits it.

13. No Circumvention of Referrals

13.1 Contractors must not deliberately misuse the Platform to obtain a Customer introduction and then evade a commission properly payable under the applicable fee agreement.

13.2 Where a Contractor and Customer are introduced through a RenoRoster lead, commission obligations will continue to apply to the referred work in accordance with these Terms and the applicable Contractor Agreement, even if the parties subsequently communicate, negotiate, contract or pay outside the Platform.

13.3 This section applies only to the extent of the commission obligation that was properly disclosed and agreed to. It does not create an undisclosed fee or an unlimited restriction on future dealings.

13.4 RenoRoster may investigate suspected commission evasion and request reasonable supporting information.

13.5 Any restriction on repeat work, follow-on projects or future transactions must be expressly stated in the applicable Contractor Agreement, including its duration and scope.

14. Cancellations, Refunds and Complaints

14.1 Customers and Contractors are responsible for agreeing on cancellation terms for their Work Contract, subject to applicable law.

14.2 RenoRoster is not responsible for deciding disputes about the merits of a Work Contract, the quality of work, a Contractor’s invoice or a Customer’s failure to pay.

14.3 RenoRoster may, where appropriate, facilitate communication between the parties or provide information about available complaint pathways. It is not required to arbitrate or determine a dispute unless separately agreed in writing or required by law.

14.4 Fees paid to RenoRoster are governed by the fee terms disclosed at the time of purchase and applicable law.

14.5 Any refund policy for the Urgent Match Service or other paid features must be displayed clearly before payment. A fee will not be treated as non-refundable where the law requires a refund or other remedy.

14.6 Customers and Contractors should notify RenoRoster of suspected fraud, serious misconduct, unsafe conduct or material breaches of these Terms as soon as reasonably practicable.

14.7 RenoRoster may request relevant information to assess a complaint, but does not guarantee that it can recover money, compel a Contractor to rectify work or resolve a dispute between independent parties.

15. Reviews, Ratings and User Content

15.1 Users may be permitted to submit reviews, ratings, photographs, descriptions and other content.

15.2 Users must ensure that their content is honest, lawful, relevant and based on genuine experience or information they are entitled to share.

15.3 Users must not submit fake reviews, impersonate other users, threaten or harass another person, publish unlawful material, disclose another person’s confidential information or manipulate ratings.

15.4 RenoRoster does not guarantee that every review or statement has been independently verified. Reviews reflect the views of their authors and should not be treated as guarantees by RenoRoster.

15.5 RenoRoster may moderate, investigate, restrict or remove content in accordance with its policies, these Terms and applicable law.

15.6 Users retain ownership of content they lawfully own. By submitting content, they grant RenoRoster a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, distribute, adapt for formatting and use that content for operating, promoting and improving the Platform.

15.7 This licence continues only for as long as reasonably required for those purposes, subject to applicable law and legitimate retention requirements.

15.8 Users warrant that they have the rights and permissions necessary to upload and authorise the use of their content.

15.9 RenoRoster may remove content following a credible complaint of infringement, fraud, unlawful conduct or material inaccuracy.

16. Intellectual Property

16.1 The Platform, including its branding, logos, design, text, software and original materials, is owned by or licensed to RenoRoster, unless otherwise indicated.

16.2 Users must not copy, reproduce, distribute, reverse engineer, exploit or commercially use RenoRoster’s intellectual property except as permitted by law or with written permission.

16.3 Users must not use RenoRoster’s name, branding or logos in a manner that implies endorsement, partnership or approval without authorisation.

16.4 Nothing in these Terms transfers ownership of intellectual property from one party to another except for the licences expressly granted.

17. Privacy and Personal Information

17.1 RenoRoster may collect, use, store and disclose personal information for purposes including account administration, matching Customers with Contractors, responding to enquiries, operating the Platform, processing payments, preventing fraud, resolving complaints and complying with legal obligations.

17.2 By submitting a Job Request, a Customer acknowledges that relevant job details and contact information may be disclosed to Contractors selected or permitted to respond to that request.

17.3 Contractors acknowledge that their business information and published profile content may be visible to the public or relevant Customers.

17.4 RenoRoster will handle personal information in accordance with its Privacy Policy and applicable privacy laws.

17.5 Users must not misuse, sell, disclose or exploit personal information obtained through the Platform for unauthorised purposes.

17.6 Users must take reasonable steps to protect personal information received from other users and must not use it for spam, harassment, discrimination, fraud or unrelated marketing without lawful authority.

17.7 Further information about the personal information RenoRoster collects, how it is used, disclosures, retention, security and access or correction requests is set out in the Privacy Policy available at [Insert Privacy Policy URL].

18. Electronic Communications and Marketing

18.1 Users may receive communications necessary to administer their accounts, process Job Requests, provide lead notifications, deliver purchased services or communicate important changes.

18.2 Promotional communications will be sent in accordance with applicable law. Users may opt out of marketing communications where required or offered.

18.3 Users must not use the Platform to send unsolicited commercial messages or otherwise breach applicable spam, privacy or marketing laws.

18.4 Users consent to relevant service communications being sent to the contact details they provide, subject to applicable law.

19. Platform Availability and Third-Party Services

19.1 RenoRoster will take reasonable steps to operate the Platform but does not guarantee uninterrupted, error-free or continuously available access.

19.2 The Platform may be unavailable due to maintenance, technical failures, hosting issues, cyber incidents, telecommunications failures or circumstances beyond RenoRoster’s reasonable control.

19.3 The Platform may include links to third-party websites, software, payment providers or services. Those services may be governed by separate terms and privacy policies.

19.4 RenoRoster is not responsible for third-party websites or services merely because they are linked to or integrated with the Platform, except to the extent required by law or expressly agreed.

19.5 RenoRoster may introduce, modify, suspend or discontinue Platform features where reasonably necessary, subject to existing contractual obligations and applicable law.

20. Prohibited Conduct

Users must not:

  1. use the Platform for unlawful, fraudulent or deceptive purposes;
  2. provide false business, licensing, insurance, identity or job information;
  3. threaten, harass, discriminate against or abuse another user;
  4. manipulate quotes, reviews, ratings, referrals or commission calculations;
  5. interfere with the operation, security or integrity of the Platform;
  6. introduce malicious code, attempt unauthorised access or compromise accounts;
  7. scrape or harvest information in breach of these Terms or applicable law;
  8. misuse personal information or confidential information;
  9. infringe intellectual property or other legal rights;
  10. impersonate another person or misrepresent a relationship with RenoRoster;
  11. submit requests intended to waste Contractors’ time or obtain services through deception; or
  12. use the Platform in a manner that creates an unreasonable risk to other users or RenoRoster.

21. Suspension and Termination

21.1 Users may stop using the Platform at any time, subject to any outstanding contractual obligations.

21.2 RenoRoster may suspend or terminate an account where reasonably necessary because of a material breach of these Terms, suspected fraud, unlawful conduct, serious safety concerns, misuse of personal information, non-payment of valid fees or a material risk to the Platform or its users.

21.3 Where reasonably practicable, RenoRoster will provide notice and an opportunity to address the issue before taking action, except where immediate action is reasonably necessary.

21.4 RenoRoster may remove a listing or restrict a feature where information appears materially false, expired, unlawful or unsafe.

21.5 Account closure does not extinguish accrued payment obligations, commission properly payable under an applicable agreement, or rights and liabilities that by their nature survive termination.

21.6 Users remain responsible for Work Contracts they entered into with other parties, even if their RenoRoster account is suspended or closed.

22. Indemnity

22.1 To the extent permitted by law, a User is responsible for losses, claims, liabilities and reasonable costs incurred by RenoRoster to the extent caused by that User’s:

  1. breach of these Terms;
  2. unlawful, fraudulent or misleading conduct;
  3. infringement of another person’s rights;
  4. misuse of personal information;
  5. breach of a Work Contract or legal obligation; or
  6. negligent or wrongful act or omission.

22.2 Any indemnity under this section is limited to the extent the relevant loss was caused by the User’s conduct. It does not apply to the extent a loss was caused by RenoRoster’s own breach, negligence or other conduct for which RenoRoster is legally responsible.

22.3 Nothing in this section creates an obligation to indemnify RenoRoster for a liability that cannot lawfully be transferred or excluded.

23. Force Majeure

23.1 RenoRoster is not responsible for a failure or delay in performing an obligation to the extent it is caused by circumstances beyond its reasonable control, such as natural disasters, severe weather, fire, war, civil unrest, government action, widespread telecommunications or hosting failures, or other comparable events.

23.2 RenoRoster will take reasonable steps to reduce the effects of such circumstances where practicable.

23.3 This section does not excuse payment obligations already due or exclude rights that cannot lawfully be excluded.

24. Changes to These Terms

24.1 RenoRoster may update these Terms from time to time to reflect changes to the Platform, business operations, fees, services or applicable law.

24.2 Updated Terms will be published on the Platform with a revised effective date.

24.3 Where required by law or where a change materially affects existing users’ rights or obligations, RenoRoster will provide appropriate notice and obtain any consent required.

24.4 Changes will not retrospectively remove accrued rights or impose new charges for completed transactions without a lawful basis.

24.5 Continued use of the Platform after updated Terms take effect may constitute acceptance where legally effective. Where express acceptance is required, RenoRoster will obtain it.

25. Disputes and Governing Law

25.1 Users should first attempt to resolve disputes directly and in good faith with the relevant party.

25.2 Where a dispute concerns RenoRoster’s own services, users may contact RenoRoster using the contact details provided in these Terms. RenoRoster will consider complaints reasonably and in accordance with applicable law.

25.3 Nothing in these Terms prevents a user from contacting a relevant regulator, consumer protection body, licensing authority, tribunal or court.

25.4 These Terms are governed by the laws of Queensland, Australia, unless another law applies mandatorily.

25.5 Subject to applicable law, the parties submit to the jurisdiction of the courts and tribunals of Queensland and any courts entitled to hear appeals from them.

26. General Provisions

26.1 Entire agreement: These Terms, together with any applicable fee schedule, Privacy Policy and additional service terms, govern the relevant use of the Platform.

26.2 Priority: If these Terms conflict with a specific written agreement relating to a paid service or Contractor commission, the specific agreement prevails to the extent of the inconsistency, unless applicable law requires otherwise.

26.3 Severability: If any provision is invalid or unenforceable, it will be severed or limited to the minimum extent necessary, and the remaining provisions will continue to operate where possible.

26.4 No waiver: Failure to enforce a provision immediately does not necessarily waive the right to enforce it later.

26.5 Assignment: Users must not transfer their rights or obligations under these Terms without any consent required by law. RenoRoster may transfer its rights or obligations as part of a lawful business restructure or sale, subject to applicable law and existing obligations.

26.6 No agency: Unless expressly agreed in writing, RenoRoster does not act as an agent authorised to enter into a Work Contract on behalf of a Customer or Contractor.

26.7 Independent businesses: Contractors operate independently and are not employees, partners, joint venturers or representatives of RenoRoster merely because they use the Platform.

26.8 Survival: Provisions concerning payment obligations, intellectual property, privacy, liability, indemnities and dispute resolution survive termination to the extent necessary to give them effect.

26.9 Interpretation: Headings are for convenience only and do not affect the interpretation of these Terms.
